The GMA Bylaws state that the Officers of the Association include a president, first, second, and third vice president, the immediate past president, and the Executive Director.
The Board of Directors consists of:
- All Officers of the Association
- Past presidents who are active elected officials of a GMA member city
- District Officers in designated Board positions (see District Officer section)
- Fourteen directors elected at-large from the state
- Highest-ranking officer of the Georgia City-County Management Association who serves in a GMA member city
- President of the Georgia Municipal Clerks Association
- President of the GMA City Attorneys Section
- Chairperson of the Georgia Municipal Employees Benefit System
- Chairperson of the Harold F. Holtz Municipal Training Institute
- Chairpersons of the standing Policy Committees established by the Board
